Terms of Service — PHARE HR Consulting

Effective date: 30 October 2026

1. Who we are

These Terms of Service are provided by PHARE HR CONSULTING, LTD (“Phare”, “we”, “us” or “our”), a company based in London, England and Wales. Our website is www.pharehr.com (the “Website”).

For enquiries or notices under these Terms, contact us at hello@pharehr.com or at our registered office: 3 Carney Place, Flat 11, London, England, SW9 8GH (company number 14524277).

2. What these Terms cover

These Terms apply to your access to and use of the Website and its content. They also set out general terms for HR consulting and related services we may provide.

Where we provide services to you, the specific scope, deliverables, timetable, fees and other engagement conditions will be set out in a separate written agreement, proposal, statement of work or engagement letter (each an “Engagement Agreement”). If an Engagement Agreement conflicts with these Terms, the Engagement Agreement takes precedence for the services covered by it.

By using the Website, you agree to these Terms. If you do not agree, do not use the Website. A person using the Website on behalf of an organisation confirms that they have authority to accept these Terms for that organisation.

3. Our services

Depending on the Engagement Agreement, our services may include HR consulting and support such as HR audits and gap analysis, organisational development, recruitment processing, HR information system support, payroll and benefits administration support, employee engagement surveys, onboarding and contract support, appraisals, advice hours, on-demand or fractional HR support, retainers and Q&A support.

The services available, their scope and any applicable service levels will be agreed separately for each engagement. We may change or discontinue services offered generally, but a change will not vary an existing Engagement Agreement unless the parties agree.

4. Website information is not professional advice

The Website and its content are provided for general information only. They are not legal, employment, HR, tax, financial or other professional advice and are not tailored to your circumstances. Viewing or using Website content does not create a consultant-client relationship or any other professional relationship between you and Phare.

You should not rely on Website content as a substitute for advice based on your particular facts. If you need support, contact us to discuss a possible engagement. Any advice or recommendations we provide as part of a paid engagement are subject to the relevant Engagement Agreement and the information you provide to us.

5. Your responsibilities when using the Website

You may use the Website only for lawful purposes. You must not:

  • use the Website in breach of any applicable law or regulation;
  • interfere with, disrupt or compromise the security or operation of the Website;
  • attempt to gain unauthorised access to the Website, its systems or related data;
  • introduce malicious code or use the Website to transmit unsolicited or harmful material;
  • copy, scrape, harvest or extract Website content or data by automated means, except where permitted by law or with our written consent; or
  • use the Website or its content in a way that infringes another person’s rights.

We may suspend or restrict access to the Website where reasonably necessary to protect its security or operation, comply with law, or address misuse.

6. Intellectual property

Unless otherwise stated, the Website and its content—including text, graphics, branding, design and materials—are owned by or licensed to Phare and are protected by intellectual property laws.

You may view and print reasonable extracts for your personal or internal business use. You must not reproduce, modify, distribute, publish, commercially exploit or create derivative works from Website content without our prior written permission, except to the extent permitted by law.

An Engagement Agreement may set out separate ownership and permitted-use terms for materials created or supplied as part of our services. Those terms apply to those materials.

7. Third-party websites and services

The Website may contain links to third-party websites or services. These are provided for convenience only. We do not control or endorse third-party content, and we are not responsible for its accuracy, availability, security, privacy practices or terms. Your use of a third-party website or service is at your own risk and subject to that third party’s terms.

8. Service fees and payment

Fees, payment schedules, expenses and any applicable taxes for our services will be agreed in the relevant Engagement Agreement. Unless that agreement says otherwise, we will invoice you in accordance with the agreed engagement arrangements.

You must pay invoices by the due date stated in the invoice or Engagement Agreement. If you have a genuine query about an invoice, you should notify us promptly and explain the basis of your query. Any undisputed amount remains payable when due. Interest or other remedies for late payment may apply where provided for in the Engagement Agreement or permitted by applicable law.

9. Confidentiality and data protection

Each party must protect the other party’s confidential information received in connection with a services engagement and use it only for that engagement. A party may disclose confidential information to its personnel and professional advisers who need to know it and are subject to appropriate confidentiality obligations.

These confidentiality obligations do not apply to information that the receiving party can demonstrate is publicly available other than through a breach, was already lawfully known to it, was independently developed, or was lawfully received from another source without a confidentiality restriction. A party may also disclose information where required by law or a competent authority, to the extent legally permitted.

We will handle personal data in accordance with applicable data protection law and our Privacy Policy. Where our services involve processing personal data on your behalf, the parties will put in place any additional data processing terms required by law.

10. Disclaimers and liability

We will exercise reasonable care and skill in providing services where required by the applicable Engagement Agreement and law. However, we do not warrant that the Website will always be available, uninterrupted, error-free or free from harmful components. The Website and its content are provided on an “as available” basis.

To the fullest extent permitted by law, we are not liable for loss or damage arising from or in connection with your use of, or inability to use, the Website, or reliance on Website content. This does not exclude liability for loss or damage caused by our breach of these Terms where such liability cannot lawfully be excluded.

For services, the Engagement Agreement governs the parties’ liability. If it does not specify a liability limit, then, to the fullest extent permitted by law:

  • neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business opportunity, goodwill or data;
  • our total aggregate liability arising out of or in connection with the relevant services engagement will not exceed the fees paid or payable to us under that Engagement Agreement in the 12 months before the event giving rise to the claim; and
  • these exclusions and limits apply only to the extent they are reasonable and enforceable under applicable law.

Nothing in these Terms or an Engagement Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nothing in these Terms affects any statutory rights or remedies that cannot lawfully be excluded, including rights applicable to consumers.

You remain responsible for your business decisions and for assessing the suitability of any recommendations in your circumstances. Unless expressly agreed in an Engagement Agreement, we do not guarantee a particular outcome.

11. Indemnity

You are responsible for your use of the Website and for ensuring that any material you provide to us or submit through the Website does not unlawfully infringe another person’s rights or breach applicable law.

To the extent permitted by law, you will indemnify Phare against reasonable losses, liabilities and costs arising directly from your material breach of these Terms or your unlawful use of the Website. This indemnity does not apply to the extent that the relevant losses were caused by our own breach, negligence or unlawful conduct.

12. Termination and suspension

You may stop using the Website at any time. We may suspend, withdraw or change all or any part of the Website at any time, including where reasonably necessary for maintenance, security, legal compliance or business reasons.

A services engagement may be terminated only in accordance with its Engagement Agreement. If that agreement does not specify termination rights, either party may terminate the engagement by giving reasonable written notice. You must pay for services properly performed and any expenses properly incurred up to the effective termination date, subject to the Engagement Agreement and applicable law.

Termination does not affect rights or obligations that have accrued before termination or provisions intended to continue afterwards, including those concerning payment, confidentiality, intellectual property, liability and dispute resolution.

13. Complaints

If you have a complaint about our services, please contact us at hello@pharehr.com with a clear description of the issue and any relevant information. We will acknowledge your complaint within a reasonable time and aim to investigate and respond promptly. The Engagement Agreement may contain additional complaint-handling arrangements.

14. Changes to these Terms

We may update these Terms from time to time. The latest version will be published on the Website with its effective date. Changes apply from the date stated in the updated Terms and do not alter an existing Engagement Agreement unless the parties agree or the agreement permits the change. Your continued use of the Website after updated Terms take effect means you accept the updated Terms.

15. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect. A delay or failure to exercise a right under these Terms does not waive that right. These Terms do not create a partnership, joint venture, employment or agency relationship between you and Phare.

16. Governing law and jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising out of or in connection with these Terms, subject to any mandatory rights you may have under applicable law.
